Colton Francoeur

Companies across a spectrum of industries look to Colton to navigate complex corporate and commercial matters, including merger, sale, acquisition and financing transactions; commercial agreements; corporate governance and risk management; and employment matters. Colton also advises companies, other organizations and individuals through employment matters, including employment agreements and restrictive covenant agreements.

Biography

Colton joined BLM&H in 2023 and represents clients on a range of transactional, corporate and employment matters. His clients include for-profit entities, non-profit entities and individuals. Colton advises for-profit and non-profit entities on matters including mergers and acquisitions, both buy-side and sell-side, commercial contracts, commercial disputes, securities offerings and employment matters. He also advises individuals on matters including commercial disputes and employment agreements. Colton’s clients span a wide array of industries, including financial services, retail, technology, manufacturing, construction, education, publishing, and ministry.

Prior to joining BLM&H, Colton clerked for a Virginia-based law firm where he researched and wrote memoranda regarding a variety of legal matters, including restrictive covenants, court motions and franchisor liability. Colton also clerked for the American Center for Law & Justice (ACLJ) where he collaboratively researched, wrote and edited official reports sent to the United Nations regarding the status of human rights in various countries. At the ACLJ, he also analyzed consequential bills moving through state legislatures and contributed to research for an amicus brief filed in the U.S. Supreme Court for a First Amendment case. Colton’s law school, through its Center for Global Justice, sent him to Pohang, South Korea where he worked at Handong International Law School. While at Handong, he assisted professors with research and writing on U.S. public policy (most significantly state COVID-19 policy) and did legal work for a business startup accelerator.

Colton earned a Bachelor of Science in Healthcare Management from Regent University, where he served in leadership positions for multiple campus organizations. He subsequently earned a J.D. from Regent University School of Law, where he was a member of the Honors Program. At Regent Law, he served as a Managing Editor of the Regent University Law Review. He also was a member of the Regent University Business Law Society and a student member of the James Kent American Inn of Court.

Colton enjoys being involved with his church, participating in bluegrass jams, and spending time outdoors.

Experience

Represented Mobile-based traffic control and installation business in an equity sale to a traffic control and construction business backed by a Washington D.C.-based private equity firm.

Represented Colorado Springs-based publisher in the acquisition of closely held event and curriculum publishing business.

Represented Atlanta-based outdoor gear startup on multimillion dollar private offerings.

Worked as a summer law clerk at Anchor Legal Group where he researched and wrote memoranda regarding state and federal case law pertaining to diverse legal matters.

Served as an extern and a clerk for the American Center for Law & Justice where he worked on official reports sent to the United Nations, conducted legal analysis on bills moving through state legislatures, and researched U.S. Supreme Court First Amendment case law for an amicus brief filed in the Supreme Court.

Interned at Handong International Law School where he conducted research and writing on U.S. federal and state policy, and did legal work for a startup accelerator in Southeast Asia.
